Terms and Conditions of Use – NinjaBot AI

1. Acceptance of Terms

Parties. These Terms are a binding agreement between you and ZNex Technologies LLC, a Wyoming limited liability company with its principal office at 30 N Gould St Ste R, Sheridan, WY 82801, USA (“ZNex,” “NinjaBot AI,” “we,” “us,” or “our”), which owns and operates the NinjaBot AI website and software. References to “NinjaBot AI” in these Terms mean ZNex Technologies LLC.

By accessing or using the NinjaBot AI website (ninjabotai.pro) and related software, content, and services (collectively, the “Service”), you agree to be bound by these Terms and Conditions of Use (“Terms”) and our Privacy Policy. If you do not agree, do not access or use the Service. These Terms apply to all visitors, users, purchasers, and affiliates. We may update these Terms at any time; continued use after changes constitutes acceptance.

PLEASE READ SECTION 22-A CAREFULLY. IT REQUIRES DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS OF YOUR FIRST PURCHASE AS DESCRIBED IN THAT SECTION.

2. Service Description

NinjaBot AI is software that provides trading automation tools and optional connectors interoperable with certain third-party brokers, APIs, and data providers. The Service may include analytics and configurable settings. NinjaBot AI does not provide financial advice, investment recommendations, or fiduciary services. The Service is for personal, individual use and is not for managing client accounts.

3. Subscription Plans; License Grant; Term; Renewal

Scope of this Section. This Section 3 governs subscription plans (monthly, quarterly, and yearly). If you purchased a Lifetime License, your license is governed by Section 3-A, and the auto-renewal, cancellation, and Subscription Term provisions of this Section 3 do not apply to you.

Subscription Access. NinjaBot AI is offered on a subscription basis (monthly, quarterly, and yearly plans) as described at checkout. Subject to these Terms and successful payment of the applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use during your active subscription period (the “Subscription Term”).

Start of Access. The Subscription Term begins on the earlier of: (a) delivery of access credentials to your registered email; or (b) your first activation/access after purchase.

Auto-Renewal. Unless you cancel before the next billing date, your subscription will automatically renew at the then-current price and plan interval selected (monthly, quarterly, or yearly), and you authorize our payment processor to charge the recurring subscription fee using your payment method on file.

Cancellation. You may cancel your subscription at any time through your customer portal or by contacting support. Cancellation stops future renewals and charges. Unless required by law or expressly stated in these Terms, cancellation does not result in a refund of fees already paid. You will generally retain access until the end of the current paid billing period.

No Transfer; No Sharing. You may not assign, transfer, sublicense, resell, or share your subscription, license, or credentials with any third party.

3-A. Lifetime License Plan

Meaning of “Lifetime.” As used in these Terms and in our advertising, “lifetime” refers to the commercial lifetime of the NinjaBot AI software — the period during which we continue to offer and maintain it — and not to the lifetime of the purchaser or of any computer, VPS, brokerage account, or trading account. The Lifetime License is a one-time payment plan with no recurring charges.

License Grant. Subject to these Terms and successful payment, we grant you a limited, non-exclusive, non-transferable, revocable license to use the version of NinjaBot AI you purchased, together with maintenance updates released while the Service remains commercially available.

Minimum Availability Period. We will keep the Service commercially available for at least twenty-four (24) months from your purchase date (the “Minimum Availability Period”). If we discontinue the Service before that period ends, we will, at our election, either (a) provide a pro-rated refund for the unexpired portion of the Minimum Availability Period, or (b) supply a comparable replacement product at no additional cost.

Discontinuation After the Minimum Availability Period. After the Minimum Availability Period, we may discontinue the Service on ninety (90) days’ prior notice, without refund. Software already installed on your device may continue to operate, but we make no commitment that it will remain functional, compatible, or supported.

Included Support Period. Technical support for Lifetime License holders is included for twelve (12) months from delivery of access credentials. After that period, support is provided on a best-effort basis, may be discontinued at any time, and may require the purchase of a separate support plan.

Scope of Updates. The Lifetime License includes maintenance updates, bug fixes, and compatibility patches for the product you purchased. It does not include: (a) new products, strategies, or algorithms released under a separate name or SKU; (b) rebuilds required by material changes to third-party platforms; or (c) features marketed and sold separately.

Third-Party Dependency. The Service depends on third-party platforms (including NinjaTrader 8), brokers, data feeds, and proprietary trading firms. If any third party discontinues, materially changes, or restricts its platform, rules, pricing, or automation policies, we have no obligation to rebuild, port, or adapt the Service, and no refund is due. Compatibility with future platform versions is not guaranteed.

Activation Limits. The Lifetime License permits activation on up to three (3) machines or VPS instances, for the purchaser’s own use only. License resets are available at our discretion and may be limited in frequency. Sharing, resale, sublicensing, transfer, or use on behalf of third parties results in immediate and permanent revocation without refund.

No Refunds. The Lifetime License is a final sale. It is not covered by the 14-Day Money Back Guarantee described in Section 9, which applies to the yearly plan only. Because the Lifetime License is delivered digitally and grants immediate, permanent access to proprietary software, all Lifetime License sales are final and non-refundable, except (a) as provided under “Minimum Availability Period” above, or (b) where a refund is required by applicable law.

Chargebacks. If a chargeback or payment dispute is initiated on a Lifetime License, access may be suspended pending resolution. If the dispute results in reversal of payment to us, the license and any bonus tools are permanently revoked. If the dispute is resolved in our favor or withdrawn, access will be restored.

Termination for Cause. Any violation of these Terms permits immediate termination of the Lifetime License without refund. A perpetual license is not an unconditional one.

Limitation of Liability. For Lifetime License holders, the aggregate liability cap in Section 12 is the total amount you paid for the Lifetime License. Section 12 applies as modified by this paragraph.

4. Eligibility; Accounts & Security

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify NinjaBot AI immediately of any unauthorized use. We are not liable for losses arising from compromised credentials.

5. No Third-Party Credentials Collected; Remote Assistance

We will never request your logins, passwords, 2FA/OTP codes, API keys, or other credentials for third-party services (including NinjaTrader, brokers, prop firms, TradingView, email, or messaging apps). If a remote session is needed, you remain in control of your device and enter any credentials yourself. See our Privacy Policy for details.

6. Permitted Use and Limitations

Unless expressly authorized in writing, you may not use the Service to operate or manage client or third-party accounts, provide managed-account services, or act as an investment adviser or money manager. You must comply with all applicable laws and all third-party terms that govern platforms or services you use with the Service.

7. Prohibited Activities

You agree not to: (a) use the Service for unlawful purposes; (b) engage in fraudulent, deceptive, manipulative, or abusive activities; (c) access or probe non-public areas, other users’ data, or bypass security controls; (d) overload, disrupt, or interfere with the Service or its infrastructure; or (e) use the Service to violate any third-party rules or terms (including any restrictions on automation).

8. Automations, Demo Accounts & Connectors

The Service may allow automated execution via integrations with third-party brokers/APIs. You are solely responsible for all actions taken by your automations, including orders placed through third-party services. NinjaBot AI is not responsible for missed executions, slippage, outages, delays, data inaccuracies, or third-party failures. Use of demo environments is allowed where available, provided it does not degrade performance for others.

9. Payments, Billing, Taxes & Refunds

Pricing and Delivery. Prices are in U.S. dollars unless stated otherwise. We accept major credit and debit cards through Stripe (or other payment processors displayed at checkout). Products are delivered digitally (license credentials and/or account-based access) to your registered email and/or customer area, typically within 1 to 24 hours after payment confirmation. In some cases, additional anti-fraud verification by our payment processor may be required before delivery.

Subscription Billing. When you purchase a subscription (monthly, quarterly, or yearly), you authorize us (and our payment processor) to charge the subscription fee and any applicable taxes on a recurring basis according to your plan interval. Subscription fees are charged in advance at the start of each billing period. The Lifetime License is charged once and does not recur.

Plan Changes. If you upgrade or downgrade your plan, the timing and amount of any plan change charges or credits will be shown at the time of change (and may be prorated depending on the platform and payment processor rules). We do not guarantee that all plan-change scenarios will be prorated.

Failed Payments. If a payment fails, we may retry your payment method. If we are unable to collect payment, we may suspend or terminate your access until payment is successfully processed.

Licensing and Taxes. Subscription fees grant access to the Service during the active Subscription Term. Prices may change prospectively with notice, and changes will apply to future renewal charges. You are responsible for any applicable taxes, duties, or fees based on your location.

Chargebacks. If you initiate a chargeback or payment dispute, access to the Service may be suspended or terminated while the dispute is under review. We cooperate with card networks and payment processors to resolve disputes in good faith. To avoid interruptions, please contact [email protected] first so we can investigate and assist.

Refund Policy (Digital Service). Because the Service is delivered digitally and provides immediate access to proprietary software, content, and systems, all sales are final except as expressly stated below or where a refund is required by applicable law.

14-Day Money Back Guarantee (Yearly Plan Only). We stand behind NinjaBot AI with a 14-day money back guarantee for eligible customers on the yearly plan (“Guarantee”). This gives you an opportunity to backtest, verify, and evaluate system behavior and performance. The Guarantee does not apply to monthly plans, quarterly plans, or the Lifetime License, unless otherwise required by applicable law. Lifetime License refunds are governed exclusively by Section 3-A.

Guarantee Window. Refund requests under this Guarantee must be submitted by the purchaser within 14 calendar days of the initial yearly purchase date and time, as recorded in the official transaction records.

Eligibility Requirements. To qualify for a refund under the Guarantee, you must:

• Complete the full setup process (we may verify via installation logs or NinjaTrader logs provided by you).
• Run the bots live or in simulation for at least 5 trading days within the 14-day window.
• Provide performance screenshots and/or NinjaTrader logs as part of your refund request.
• Allow us to compare your logs with our own to verify trades were triggered as expected.
• Follow all onboarding materials, best practices, and risk controls as communicated in the Members Area, support channels (email and chat), and our documentation.

Ineligible Requests. No refunds will be issued if you do not attempt proper use, ignore onboarding materials, or fail to follow the recommended setup and risk management guidelines. Any violation of these Terms makes you ineligible for the Guarantee.

How to Request a Refund. Send your request to [email protected] within the 14-day window and include the required documentation (screenshots and/or logs). We may request additional information reasonably necessary to validate eligibility.

Refund Issuance. If approved, the refund will be issued to the original method of payment. Processing time depends on your bank or card issuer and may take 5 to 30 business days. If a refund is granted, access to the Service will be terminated and any associated access (including bonus tools) may be revoked.

Cancel Anytime (All Subscription Plans). You may cancel any subscription — monthly, quarterly, or yearly — at any time, for any reason, and no further charges will be made. Cancellation stops future renewals; it is not a refund. Cancellation takes effect at the end of your current paid billing period, and you retain access to the Service until that period ends. You are never locked into a minimum commitment beyond the billing period you have already paid for. Cancellation does not refund fees already paid for the current or any prior billing period, except that yearly plan purchasers may separately qualify for the 14-Day Money Back Guarantee described above. To cancel, use your customer portal or contact [email protected]; cancellation is processed without retention requirements, mandatory calls, or additional steps beyond those needed to identify your account.

Non-Refundable Items. Refunds do not include any interest, financing costs, foreign exchange fees, or third-party fees charged by your bank, card issuer, or payment provider. Refunds cover only the amount paid to us, unless otherwise required by law.

10. Financial, Risk, and Performance Disclaimers

No Advice. NinjaBot AI does not provide financial, investment, tax, or legal advice. No content or feature of the Service constitutes a recommendation or solicitation to buy or sell any security, derivative, futures contract, or other instrument. We are not a registered investment adviser, broker-dealer, or futures commission merchant.

Risk of Loss. Trading futures and other leveraged instruments involves substantial risk of loss and is not suitable for every investor. You may lose more than your initial investment. You should carefully consider whether such trading is suitable for you in light of your financial condition. You are solely responsible for your trading decisions and risk management.

Hypothetical and Simulated Results. Any performance results presented by us that are hypothetical, simulated, or derived from backtesting have inherent limitations. Unlike an actual performance record, simulated results do not represent actual trading and may not be affected by brokerage or other slippage fees. Because the trades have not been executed, results may under- or over-compensate for the impact, if any, of certain market factors such as lack of liquidity. Simulated trading programs in general are also subject to the fact that they are designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.

No Guarantee of Outcomes. Past performance, whether actual or hypothetical, is not necessarily indicative of future results. We do not guarantee profits, funding approvals, evaluation passes, payouts, or any specific outcome.

Individual Results Vary. Any testimonials or results shown reflect the experience of individual users and are not representative of all users. Individual results depend on configuration, market conditions, execution environment, account size, discipline, and factors outside our control.

11. Third-Party Services & Prop Firms

The Service may interoperate with, or be used alongside, third-party platforms (e.g., NinjaTrader, brokers, prop firms, analytics tools, community platforms). Their terms and policies govern your use of those services. You are solely responsible for reviewing and complying with any third-party rules, including restrictions on automation or trading strategies. We are not affiliated with or endorsed by any prop firm or broker.

12. Limitation of Liability

To the maximum extent permitted by law, NinjaBot AI and its affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, goodwill, data, or business interruption, even if advised of the possibility.

Aggregate Cap. Our aggregate liability for all claims shall not exceed:

• (a) for subscription customers, the total amount you paid to us for the Service during the twelve (12) months preceding the event giving rise to liability; or
• (b) for Lifetime License holders, the total amount you paid to us for the Lifetime License, as provided in Section 3-A.

Some jurisdictions do not allow limitations of liability; in such cases, this limitation applies only to the extent permitted by law.

12-A. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; THAT THE SERVICE WILL BE COMPATIBLE WITH ANY PARTICULAR PLATFORM, BROKER, DATA FEED, PROPRIETARY TRADING FIRM, OR FUTURE VERSION THEREOF; OR THAT THE SERVICE WILL PRODUCE ANY PARTICULAR TRADING RESULT, EVALUATION OUTCOME, FUNDING APPROVAL, OR PAYOUT.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS; IN SUCH JURISDICTIONS, THE EXCLUSIONS IN THIS SECTION APPLY ONLY TO THE EXTENT PERMITTED BY LAW, AND ANY IMPLIED WARRANTY THAT CANNOT BE DISCLAIMED IS LIMITED IN DURATION TO THE SHORTEST PERIOD PERMITTED BY LAW.

13. Indemnification

You agree to defend, indemnify, and hold harmless NinjaBot AI and its owners, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any law or third-party right.

14. Intellectual Property; Feedback

All software, features, content, trademarks, and logos are owned by NinjaBot AI or its licensors and protected by intellectual property laws. You receive no rights except as expressly granted in these Terms. If you provide feedback, you grant NinjaBot AI a perpetual, irrevocable, worldwide, royalty-free license to use and exploit it without restriction.

15. Updates, Maintenance, and Support

During an active Subscription Term, NinjaBot AI may (but is not obligated to) provide updates, patches, and support. For Lifetime License holders, updates and support are governed by Section 3-A, including the twelve (12) month Included Support Period and the Scope of Updates limitations. Provision of updates or support does not constitute a warranty. Updates, improvements, and future algos (if offered) may be included only as described at checkout and, for subscriptions, only while your subscription remains active.

16. Beta Features

We may provide beta or experimental features. Beta features are provided “AS IS,” with no commitments, and may be modified or discontinued at any time.

17. Modifications to the Service or Terms

We may modify, suspend, or discontinue the Service (in whole or in part), and update these Terms, at any time. If we make material changes, we may provide notice (e.g., via the Service or email). Your continued use after changes constitutes acceptance. Modifications to the Service do not override our commitments under the Minimum Availability Period in Section 3-A.

18. Suspension and Termination

We may suspend or terminate your access immediately for any violation of these Terms, suspected fraudulent or abusive activity, non-payment, or as required by law. Upon termination, your right to use the Service ceases, but Sections that by their nature should survive — including Sections 3-A, 9 through 24, 12-A, and 22-A — shall survive.

19. Force Majeure

We are not liable for any delays or failures due to events beyond our reasonable control, including outages, cyberattacks, failures of third-party services, acts of God, labor disputes, governmental actions, or network failures.

20. Export Control & Sanctions Compliance

You may not use or access the Service if you are subject to sanctions or reside in a jurisdiction embargoed by applicable laws. You agree to comply with all export control and sanctions laws in connection with your use of the Service.

21. Electronic Communications; Notices

You consent to receive communications electronically. We may provide notices via the Service, email, or other reasonable means. You are responsible for keeping your contact information current.

22. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules, except that Section 22-A (Dispute Resolution; Arbitration) is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.

Subject to Section 22-A, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming for all disputes not subject to arbitration and not subject to other mandatory venues under applicable law.

Nothing in these Terms waives any right or remedy that cannot be waived under the non-waivable consumer protection statutes of your state of residence.

22-A. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.

Informal Resolution First. Before initiating arbitration, you agree to first contact us at [email protected] with a written description of the dispute, the relief sought, and your contact and order information. We will attempt in good faith to resolve the dispute within sixty (60) days. Either party may initiate arbitration if the dispute is not resolved within that period.

Agreement to Arbitrate. Except as set out below, you and NinjaBot AI agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, any purchase, or any advertising or communications regarding the Service, shall be resolved exclusively by final and binding individual arbitration, and not in a court of law. This includes disputes about the interpretation, scope, enforceability, or formation of this arbitration agreement, except as stated under “Class Action Waiver” below.

Arbitration Rules and Forum. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as modified by these Terms, by a single arbitrator. The AAA Rules are available at adr.org. The Federal Arbitration Act governs the interpretation and enforcement of this Section. The arbitration may be conducted by document submission, telephone, or videoconference; if an in-person hearing is required, it will be held in the county of your residence or another mutually agreed location.

Arbitration Costs. Payment of filing, administration, and arbitrator fees will be governed by the AAA Consumer Arbitration Rules and the AAA’s fee schedule. In addition, for claims where the amount in controversy does not exceed $10,000, we will pay all arbitration filing, administration, and arbitrator fees, except where the arbitrator determines that your claim was frivolous or brought for an improper purpose. Where the AAA rules require us to bear a greater share of the fees than this paragraph provides, the AAA rules control.

Arbitrator’s Authority. The arbitrator may award the same individual relief that a court could award, including declaratory or injunctive relief, but only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. The arbitrator’s decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver. YOU AND NINJABOT AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding. In no event may any class, collective, or representative proceeding be arbitrated. If a court decides that this Class Action Waiver is unenforceable as to a particular claim or request for relief, then that claim or request shall be severed from arbitration and may proceed in court, while all remaining claims shall be arbitrated. The enforceability of this Class Action Waiver shall be decided by a court and not by an arbitrator.

Exceptions to Arbitration. Either party may (a) bring an individual claim in small claims court if it qualifies; and (b) seek injunctive or equitable relief in court to protect intellectual property rights or to address unauthorized access, piracy, or misuse of the Service.

30-Day Right to Opt Out. You may opt out of this arbitration agreement. To do so, send written notice to [email protected] with the subject line “Arbitration Opt-Out,” including your full name, the email address used for purchase, and a clear statement that you wish to opt out of arbitration. The notice must be sent within thirty (30) days of your first purchase. Opting out will not affect any other part of these Terms and will not affect your access to the Service in any way. If you opt out, disputes will be resolved in the courts identified in Section 22.

Severability and Survival. Except as provided under “Class Action Waiver,” if any part of this Section 22-A is found unenforceable, the remainder shall remain in effect. This Section survives termination of these Terms and of your license.

23. General Terms (Entire Agreement; Severability; Assignment; Waiver)

These Terms constitute the entire agreement between you and NinjaBot AI regarding the Service and supersede all prior or contemporaneous understandings. If any provision is held invalid or unenforceable, the remaining provisions remain in full force. You may not assign these Terms without our prior written consent; we may assign them without restriction. Our failure to enforce any provision is not a waiver of our rights.
