1. Acceptance of Terms

By accessing or using the NinjaBot AI website (ninjabotai.pro) and related software, content, and services (collectively, the “Service”), you agree to be bound by these Terms and Conditions of Use (“Terms”) and our Privacy Policy. If you do not agree, do not access or use the Service. These Terms apply to all visitors, users, purchasers, and affiliates. We may update these Terms at any time; continued use after changes constitutes acceptance.

2. Service Description

NinjaBot AI is software that provides trading automation tools and optional connectors interoperable with certain third-party brokers, APIs, and data providers. The Service may include analytics and configurable settings. NinjaBot AI does not provide financial advice, investment recommendations, or fiduciary services. The Service is for personal, individual use and is not for managing client accounts.

3. License Grant and Term (One-Year License; One-Time Fee)

Subject to these Terms and full payment of the applicable one-time license fee, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use for a term of twelve (12) months (the “License Term”). The License Term begins on the earlier of: (a) delivery of license credentials to your registered email; or (b) your first activation/access after purchase. There is no subscription or auto-renewal. Continued access after the License Term requires purchasing a new license. You may not assign, transfer, sublicense, resell, or share your license or credentials with any third party.

4. Eligibility; Accounts & Security

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify NinjaBot AI immediately of any unauthorized use. We are not liable for losses arising from compromised credentials.

5. No Third-Party Credentials Collected; Remote Assistance

We will never request your logins, passwords, 2FA/OTP codes, API keys, or other credentials for third-party services (including NinjaTrader, brokers, prop firms, TradingView, email, or messaging apps). If a remote session is needed, you remain in control of your device and enter any credentials yourself. See our Privacy Policy for details.

6. Permitted Use and Limitations

Unless expressly authorized in writing, you may not use the Service to operate or manage client or third-party accounts, provide managed-account services, or act as an investment adviser or money manager. You must comply with all applicable laws and all third-party terms that govern platforms or services you use with the Service.

7. Prohibited Activities

You agree not to: (a) use the Service for unlawful purposes; (b) engage in fraudulent, deceptive, manipulative, or abusive activities; (c) access or probe non-public areas, other users’ data, or bypass security controls; (d) overload, disrupt, or interfere with the Service or its infrastructure; or (e) use the Service to violate any third-party rules or terms (including any restrictions on automation).

8. Automations, Demo Accounts & Connectors

The Service may allow automated execution via integrations with third-party brokers/APIs. You are solely responsible for all actions taken by your automations, including orders placed through third-party services. NinjaBot AI is not responsible for missed executions, slippage, outages, delays, data inaccuracies, or third-party failures. Use of demo environments is allowed where available, provided it does not degrade performance for others.

9. Payments, Taxes & Refunds

Pricing and Delivery. Prices are in U.S. dollars unless stated otherwise. We accept major credit and debit cards through Stripe. Products are delivered digitally (license credentials and/or account-based access) to your registered email and/or customer area, typically within 1 to 24 hours after payment confirmation. In some cases, additional anti-fraud verification by our payment processor may be required before delivery. One-Time Fee (No Subscription or Auto-Renewal). Your purchase is a single, one-time payment for the license described at checkout. There are no recurring charges, subscriptions, or automatic renewals. Any future upgrades, add-ons, extended support, or new versions, if offered, are optional and require a separate, explicit purchase by you. There is no automatic billing for future products or services. Licensing and Taxes. A one-time license fee grants access to the Service for the stated term. Prices may change prospectively for future purchases only. You authorize our payment processor to charge the fees shown at checkout. Sales tax or similar charges may apply depending on your location, and you are responsible for any applicable taxes, duties, or fees. Chargebacks. If you initiate a chargeback, access to the Service may be suspended or terminated while the dispute is under review. We cooperate with the card networks and our payment processor to resolve disputes in good faith. We offer customers a 14-day, 100% money-back guarantee on eligible purchases under the following terms and conditions: Eligibility Requirements. To qualify for the money-back guarantee, the customer must:
  • Have purchased NinjaBot AI directly from us.
  • Have run all default settings and followed all standard instructions recommended by us or configured by our support team.
  • Provide a verifiable trading record that demonstrates compliance with these usage requirements.
  • Make all reasonable attempts to resolve technical issues with our support staff, following the instructions provided.
  • Immediately report any problems with the system operating improperly so that our team has a fair opportunity to investigate and correct the issue.
Refund Request Window. Refund requests must be submitted by the purchaser via email to [email protected] within 14 calendar days of the purchase date. Requests submitted after this 14-day window are ineligible, and all sales will be considered final. Refund Issuance. If the refund request is approved, the refund will be issued to the original method of payment. Please allow 5 to 30 business days for your bank or card issuer to process the credit. Guarantee Period Start Date. The 14-day guarantee period begins on the date and time of the purchase, as recorded in the official transaction records. Limitations.
  • This guarantee applies only to the initial purchase of NinjaBot AI.
  • Customers who do not meet the usage and verification requirements described above are not eligible for a refund.

  • The refund does not include any interest or financing costs paid by the customer in connection with third-party financing, payment plans, or installment options. The refund covers only the purchase price paid to us for NinjaBot AI.
Digital Deliveries: Default Rule and Exceptions. Digital deliveries (license credentials, activations, or account-based access) are non-returnable and non-refundable except when: (a) you meet all eligibility criteria under the 14-Day Limited Money-Back Guarantee above, or (b) a refund is required by applicable local law. If you do not meet all criteria for the guarantee and no law requires a refund, the sale is final.

10. Financial, Risk, and Performance Disclaimers

NinjaBot AI does not provide financial, investment, tax, or legal advice. No content or feature of the Service constitutes a recommendation or solicitation to buy or sell any security, derivative, or instrument. Trading involves significant risk of loss, and past performance (including backtests) does not guarantee future results. We do not guarantee profits, funding approvals, payouts, or any specific outcomes. You are solely responsible for your trading decisions and risk management.

11. Third-Party Services & Prop Firms

The Service functions as an independent technological solution and may interoperate with, or be used alongside, third-party platforms (e.g., NinjaTrader, brokers, prop firms, analytics tools). We are not affiliated with, nor endorsed by, NinjaTrader, CME Group, any proprietary trading firm (prop firm), broker, or financial institution. We have no influence or control over the rules, terms of service, evaluation criteria, or administrative decisions of any prop firm. The policies of these third-party companies—including, but not limited to, evaluation passing requirements, consistency rules, drawdown limits, payouts, and account terminations—are established exclusively by them and are subject to unilateral change at any time. By using our products, you fully and voluntarily assume all risks associated with trading through these institutions. You are solely responsible for reviewing, continuously monitoring, and strictly complying with all third-party terms and rules of your chosen prop firm, including any restrictions on automation or trading strategies. Under no circumstances shall we be held liable for failed evaluations, account suspensions, loss of funded accounts, denied payouts, or any financial losses resulting from rule violations or the discretionary administrative decisions made by these firms.

12. Limitation of Liability

To the maximum extent permitted by law, NinjaBot AI and its affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, goodwill, data, or business interruption, even if advised of the possibility. Our aggregate liability for all claims shall not exceed the amount you paid for the license during the twelve (12) months preceding the event giving rise to liability. Some jurisdictions do not allow limitations of liability; in such cases, this limitation applies only to the extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless NinjaBot AI and its owners, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any law or third-party right.

14. Intellectual Property; Feedback

All software, features, content, trademarks, and logos are owned by NinjaBot AI or its licensors and protected by intellectual property laws. You receive no rights except as expressly granted in these Terms. If you provide feedback, you grant NinjaBot AI a perpetual, irrevocable, worldwide, royalty-free license to use and exploit it without restriction.

15. Updates, Maintenance, and Support

During the License Term, NinjaBot AI may (but is not obligated to) provide updates, patches, and support. Provision of updates or support does not constitute a warranty and does not extend the License Term.

16. Beta Features

We may provide beta or experimental features. Beta features are provided “AS IS,” with no commitments, and may be modified or discontinued at any time.

17. Modifications to the Service or Terms

We may modify, suspend, or discontinue the Service (in whole or in part), and update these Terms, at any time. If we make material changes, we may provide notice (e.g., via the Service or email). Your continued use after changes constitutes acceptance.

18. Suspension and Termination

We may suspend or terminate your access immediately for any violation of these Terms, suspected fraudulent or abusive activity, non-payment, or as required by law. Upon termination, your right to use the Service ceases, but Sections that by their nature should survive (including Sections 9 through 23) shall survive.

19. Force Majeure

We are not liable for any delays or failures due to events beyond our reasonable control, including outages, cyberattacks, failures of third-party services, acts of God, labor disputes, governmental actions, or network failures.

20. Export Control & Sanctions Compliance

You may not use or access the Service if you are subject to sanctions or reside in a jurisdiction embargoed by applicable laws. You agree to comply with all export control and sanctions laws in connection with your use of the Service.

21. Electronic Communications; Notices

You consent to receive communications electronically. We may provide notices via the Service, email, or other reasonable means. You are responsible for keeping your contact information current.

22. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming for all disputes not subject to other mandatory venues under applicable law.

23. General Terms (Entire Agreement; Severability; Assignment; Waiver)

These Terms constitute the entire agreement between you and NinjaBot AI regarding the Service and supersede all prior or contemporaneous understandings. If any provision is held invalid or unenforceable, the remaining provisions remain in full force. You may not assign these Terms without our prior written consent; we may assign them without restriction. Our failure to enforce any provision is not a waiver of our rights.
